"Extra - Ordinary" meeting
Ahead of posting my routine blog article (on the YHA website) this
week. I thought I'd post the results of yesterday's Extraordinary
General Meeting of YHA Company Members, held from 11am in Birmingham
(Saturday 21st February 2008).
Motion 1, For 60, Against 15, Abstain 4, Motion PASSED
Motion 2, For 52, Against 23, Abstain 5, Motion FAILED
Motion 3, For 63, Against 14, Abstain 3, Motion PASSED
As all three motions did not pass, all three are therefore FAILED
overall.
The meeting was immediately closed.
As a result the memorandum and articles remain unchanged in full.
I have added the Motions below, but they relate to lengthy papers
known as the Memorandum and Articles of Association. These are too
large to post here. I recommed you contact your local Regional Council
(Chairman or Council Members) to see what these are and what was
proposed, if you don't alreday have a copy yourself.

Note, the Motions read:
1 That the memorandum of association of the Company is altered as
shown in the document signed by the Chairman for the purposes of
identification. (Special resolution)
2 That the articles of association contained in the document signed by
the Chairman for the purposes of identification are adopted as the new
articles of association of the Company (the New Articles) in place
of its existing articles of association. (Special resolution)
3 That all trustees of the Company in office at the start of the
Meeting (excluding National Officers who shall continue to serve on
the terms contained in the New Articles) shall retire and (unless re-
appointed pursuant to resolution 4) such retirements shall take effect
from the end of the Meeting. (Ordinary resolution)

Motion 1: the against vote was 16 not 15.
