Companies House WebFiling   
I was asked to be sole company secretary of  a company. There was
already one director and one company secretary. I terminated the
present company secretary's appointment and appointed myself as the
company secretary. I received an email confirming my new appointment
as company secretary which was accepted on 19 June 2008. I requested a
company information report today and was shocked to see that it said
there was no company secretary and I was a director!

Maybe this WebFiling is some kind of joke and in fact they don't use
computers to keep the records. It looks like they use moonlighting
HMRC staff instead.

In the old days the Shareholders owned the company and appointed the
Directors who ran the company.

Nowadays whoever has access to the password owns and controls the
comany. I am Company Secretary to a dormant company
which...oops...doesn't have any shareholders except the original
incorporating agent. That might be a problem if I ever had to defer to
the shareholders for the Special Resolution to get new shareholders
appointed, but I don't because I have the password :)

Companies House admitted that in a few cases there is manual
intervention.

Who likes the new screen where you have to pick between single lines
of alternating English and Welsh options? I'd prefer English on one
side and Welsh on the other.
