Windows not shutting down

This started to happen today after a failed attempt to update Windows XP SP2.
It started an update download, but that appeared to hang, so I logged out.
Logged in again and then tried to shut down, but it no longer completes.
The only way to get out of Windows now is to switch off the PC. Even worse,

HD replacement

I am considering replacing the system HD as I am beginning to worry about MTF
after 4-5 years of usage. But I would like a painless replacement of the exact
image (clone).
The HD has originally XP Pro OEM installed from MS disk when I build the system.
